These Terms of Service (“Terms”) govern your access to and use of the managed IT, cybersecurity, compliance, and automation services provided by Office Heroes, LLC (“Office Heroes,” “we,” “us,” or “our”). By using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must discontinue use of our services.


1. Scope of Services

Office Heroes provides subscription-based managed IT and cybersecurity services through its Guardian, Titan, and Overwatch service tiers, as well as add-on professional services. Services may include (but are not limited to):

  • Endpoint protection, backup, and monitoring
  • Vulnerability scanning and penetration testing
  • Business continuity and disaster recovery
  • Compliance management and reporting (HIPAA, PCI DSS, CMMC, FTC Safeguards, NCUA, SOC 2, GDPR, etc.)
  • Automation, cloud infrastructure, and Microsoft 365/AVD solutions

The specific services you receive will be set forth in your signed Service Agreement, Order Form, or Statement of Work (SOW). Services outside of the agreed scope will require a separate written agreement.

2. Client Responsibilities

You agree to:

  • Provide accurate business and technical information needed for service delivery.
  • Maintain appropriate licensing for third-party software not provided by Office Heroes.
  • Follow security and acceptable use policies communicated by Office Heroes.
  • Ensure your staff completes security awareness training, where applicable.
  • Notify us promptly of suspected security incidents or service disruptions.

3. Service Commitments

  • Availability & Response Times: We provide 24/7 monitoring and support in accordance with the Service Level Agreements (SLAs) outlined in your subscription package.
  • Compliance Alignment: Office Heroes provides tools, monitoring, and documentation to support regulatory compliance, but ultimate compliance obligations remain with the Client.
  • Third-Party Dependencies: Some services rely on third-party providers (e.g., Microsoft, Datto, Kaseya). Office Heroes is not responsible for outages or limitations caused by third-party platforms.

4. Data Protection & Security

  • Confidentiality: Both parties agree to maintain the confidentiality of sensitive information, including NPPI, CUI, and ePHI.
  • Shared Responsibility Model: Office Heroes manages the infrastructure, monitoring, and technical safeguards. Clients remain responsible for user behavior, data classification, and breach notification as required by law.
  • Data Backup: Backup services are provided as specified in your package. Clients are responsible for validating restored data for accuracy and completeness.
  • Incident Response: Office Heroes will assist with detection, containment, and recovery of incidents. Clients must cooperate fully during incident investigations.

5. Payment & Billing

  • Services are billed in accordance with your subscription plan (monthly or annually).
  • Fees are non-refundable except where explicitly stated.
  • Late payments may result in suspension or termination of services.

6. Term & Termination

  • These Terms remain in effect while you subscribe to our services.
  • Either party may terminate services with written notice per the termination clause in your Service Agreement.
  • Office Heroes may suspend or terminate services immediately if:
    • You fail to make timely payments,
    • You materially breach these Terms, or
    • Continuing services would violate applicable laws or regulations.

7. Limitation of Liability

  • To the maximum extent permitted by law, Office Heroes is not liable for indirect, incidental, or consequential damages (including lost profits, data loss, or business interruption).
  • Our total liability under these Terms shall not exceed the amount paid by you for the services in the six (6) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Office Heroes, its employees, and partners from claims, damages, or expenses arising from:

  • Your misuse of the services,
  • Your failure to comply with applicable laws or regulations, or
  • Third-party claims related to your business operations.

9. Compliance & Regulatory Frameworks

Office Heroes provides technical safeguards to assist with compliance under frameworks such as: FTC Safeguards, GLBA, HIPAA, PCI DSS, SOC 2, CMMC, NCUA, GDPR, and NIST. Compliance is a shared responsibility, and you remain accountable for fulfilling organizational, administrative, and reporting requirements.

10. Office Heroes SMS Alerts

Office Heroes SMS Alerts is a messaging program that provides you with updates, notifications, and exclusive offers related to our employee recognition platform. By opting in, you will receive periodic SMS messages about new features, events, promotions, and important account notifications.

  • You can cancel the SMS service at any time by texting “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
  • If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to support@officeheroes.com.
  • Carriers are not liable for delayed or undelivered messages.
  • Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

12. Updates to Terms

Office Heroes may update these Terms from time to time. Updated Terms will be posted on our website with a new effective date. Continued use of the services constitutes acceptance of the updated Terms.
